PUBLIC OFFER

1. GENERAL PROVISIONS

1.1. This document is a public offer (hereinafter - "Offer") and defines the terms of use of the GCPay platform (hereinafter - "Service") by users (hereinafter - "User").

1.2. Use of the Service means full and unconditional acceptance by the User of the terms of this Offer.

1.3. The Service is a technological platform that facilitates interaction between Google Calendar and payment systems, and is not a party to the relationships between Users.

2. SERVICE DESCRIPTION

2.1. The Service provides a technological capability for processing payments through integration with payment systems, including, but not limited to, RozetkaPay and Stripe.

2.2. The Service is not a payment system, financial institution, or bank and does not provide financial services.

2.3. The Service acts exclusively as a technological intermediary between the User, payment systems, and Google Calendar.

3. DISCLAIMER

3.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, OR UNINTERRUPTED OPERATION.

3.2. The Service Administration does not guarantee that:

  • The Service will function uninterrupted, securely, or be available at any particular time;
  • Any errors or defects will be corrected;
  • The Service is free from viruses or other harmful components;
  • The results of using the Service will meet the User's expectations.

4. PAYMENTS AND REFUNDS

4.1. Payment processing is carried out exclusively by third-party payment systems (RozetkaPay, Stripe, etc.). By using the Service, the User acknowledges and agrees that:

  • GCPay is not a payment processor and only provides technical integration between the User and third-party payment systems;
  • All payment processing, including debiting funds, refunds, disputes, and other payment-related actions, are carried out directly by the respective payment systems in accordance with their own terms of service and privacy policies;
  • The User bears full responsibility for managing their accounts in these payment systems;
  • GCPay has no control over and is not responsible for the content, privacy policies, or practices of any third-party payment systems.

4.2. Refunds and disputes:

  • All payment disputes, chargebacks, and refund requests must be resolved directly through the respective payment system;
  • GCPay is not responsible for processing refunds or resolving payment disputes between Users;
  • The User agrees to resolve all payment-related issues directly with the payment system.

5. LIMITATION OF LIABILITY

5.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GCPAY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • The User's access to or use of or inability to access or use the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Any transactions or agreements between platform Users;
  • Any payment processing performed by third-party payment systems;
  • Any technical failures, errors, or delays in the operation of the Service.

5.2. The limitations of liability in this section apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if GCPay has been advised of the possibility of such damage.

6. USER OBLIGATIONS

6.1. The User is fully responsible for:

  • Providing accurate and complete information when using the Service;
  • Maintaining the security of their account credentials;
  • All activities that occur under their account;
  • Compliance with all applicable laws and regulations;
  • Managing their payment system accounts;
  • Resolving all customer service issues related to transactions processed through their payment accounts;
  • Compliance with the rules and policies of payment systems integrated with the Service.

7. INDEMNIFICATION

7.1. The User agrees to defend, indemnify, and hold harmless GCPay and its licensees, licensors, employees, contractors, agents, officers, and directors from any claims, damages, liabilities, losses, responsibilities, costs, or debts, as well as expenses (including but not limited to attorney's fees) arising from:

  • The User's use of and access to the Service;
  • The User's violation of any provision of this Offer;
  • The User's violation of any third-party right, including without limitation any copyright, property, or privacy right;
  • Any claim that the User's use of the Service caused harm to a third party;
  • Any disputes between the User and their clients regarding payments processed through third-party payment systems.

8. TERMINATION OF ACCESS

8.1. GCPay may terminate or suspend the User's access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of this Offer.

8.2. All provisions of the Offer which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. APPLICABLE LAW

9.1. This Offer is governed by and construed in accordance with the laws of Ukraine without regard to its conflict of law provisions.

9.2. Any disputes arising in connection with this Offer or the use of the Service shall be resolved in the courts of Ukraine.

10. CHANGES TO THE OFFER

10.1. GCPay reserves the right, at its sole discretion, to modify or replace this Offer at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

10.2. Continued use of the Service after such changes constitutes the User's acceptance of the new terms of the Offer.
